TERMS OF SERVICE

Effective Date: January 1, 2026

These Terms of Service, together with our Return, Cancellation & Sales Policy, Privacy Policy, Shipping Policy, and any other policies or agreements referenced herein, govern your access to and use of the Fitment Lab website, products, services, communications, invoices, payment links, and related platforms.

Throughout these Terms, “Fitment Lab,” “we,” “us,” and “our” refer to Fitment Lab and its owners, members, employees, contractors, agents, affiliates, successors, and authorized representatives.

“You,” “your,” “customer,” and “purchaser” refer to any individual or entity accessing our website, communicating with us, requesting product recommendations, submitting an application, placing an order, making a payment, signing an invoice, or purchasing a product or service from us.

By accessing our website, creating an account, submitting information, signing an invoice, making a payment, placing an order, or otherwise using our services, you acknowledge that you have read, understood, and agreed to be legally bound by these Terms.

If you do not agree to these Terms, you must not access our website, place an order, or use our services.


1. Eligibility and Authority

You must be at least 18 years old and legally capable of entering into a binding agreement to use our services or place an order.

When purchasing on behalf of a business, organization, vehicle owner, family member, or other person, you represent and warrant that you have full authority to enter into the transaction and bind that person or entity to these Terms.

You may not place an order using another person’s identity, payment method, financing account, lease-to-own account, address, or personal information without that person’s lawful authorization.


2. Electronic Communications and Agreements

You consent to conducting business with Fitment Lab electronically.

Electronic communications may include:

  • Website notices
  • Email
  • Text messages
  • Electronic invoices
  • Payment links
  • Financing documents
  • DocuSign documents
  • Order confirmations
  • Tracking information
  • Customer service communications
  • Social media and messaging-platform communications

You agree that electronic signatures, checkbox acceptances, digital acknowledgments, electronically signed invoices, and electronic records may have the same legal effect as physical documents and handwritten signatures to the extent permitted by applicable law.

You are responsible for maintaining accurate contact information and reviewing communications sent to the phone number or email address you provide.


3. Acceptable Use of the Website

You may use our website and services only for lawful purposes.

You may not:

  • Use the website fraudulently or deceptively
  • Submit false or misleading information
  • Impersonate another person or business
  • Use stolen financial information
  • Interfere with website operation or security
  • Attempt unauthorized access to an account or system
  • Introduce malware, malicious code, or automated attacks
  • Scrape, copy, reproduce, or harvest website data without authorization
  • Misuse product images, descriptions, pricing, or intellectual property

We may restrict or terminate access to our website or services when we reasonably believe these Terms have been violated.


4. Product Information

We attempt to provide accurate product descriptions, photographs, specifications, availability information, pricing, and compatibility information.

However:

  • Product images may be representative
  • Colors and finishes may appear differently depending on lighting, photography, screens, production batches, or manufacturing variations
  • Manufacturer specifications may change without notice
  • Product packaging may vary
  • Wheel and tire dimensions may vary slightly by manufacturer
  • Inventory information may not update in real time
  • Website errors or third-party data errors may occur

Minor variations in color, texture, finish, engraving, dimensions, packaging, or appearance that do not materially impair the intended function of the product are not defects and do not create a right to a refund, return, cancellation, or chargeback.


5. Pricing and Listing Errors

We reserve the right to correct errors involving:

  • Pricing
  • Product descriptions
  • Product availability
  • Shipping charges
  • Tax calculations
  • Promotions
  • Financing information
  • Product specifications
  • Typographical errors
  • Website or software malfunctions

An automated order confirmation does not constitute final acceptance of an order.

If a product is listed at an incorrect price or with materially incorrect information, we may reject or cancel the order before shipment.

If payment has already been collected for an order we cancel because of our material listing error, we will return the amount collected for the canceled merchandise, as required by applicable law.

Fitment Lab is not required to honor an obviously incorrect price caused by a typographical, technical, supplier, or system error.


6. Product Availability

Products may be sourced from manufacturers, distributors, warehouses, or other suppliers.

Availability displayed or communicated to a customer is not guaranteed until the order is accepted and confirmed with the applicable supplier.

A product may become unavailable after an order is submitted due to:

  • Inventory discrepancies
  • Supplier stock changes
  • Discontinued products
  • Manufacturing delays
  • Allocation restrictions
  • Quality-control concerns
  • Pricing errors
  • Shipping restrictions
  • Events outside our reasonable control

When the originally ordered product is unavailable, we may offer a comparable alternative, revised fulfillment timeline, store credit, or another resolution permitted by law.

Nothing in these Terms limits any refund or cancellation right that cannot legally be waived.


7. Order Acceptance and Verification

All orders are subject to acceptance, inventory verification, payment approval, fraud screening, and supplier confirmation.

We may request additional information before accepting or shipping an order, including:

  • Government-issued identification
  • Billing-address verification
  • Shipping-address verification
  • Signed invoices
  • Signed authorization forms
  • Vehicle information
  • Photographs
  • Proof of payment authorization
  • Financing documentation
  • Confirmation from the payment-account holder

We may reject, hold, or cancel an order when we reasonably suspect fraud, identity theft, unauthorized payment, pricing error, inventory error, export violation, policy abuse, or other unlawful or suspicious activity.

Submitting payment does not require Fitment Lab to accept an order.


8. Customer Order Review

You are responsible for reviewing all order details before signing an invoice, submitting payment, or approving an order.

This includes reviewing:

  • Product brand
  • Product model
  • Wheel size
  • Wheel width
  • Bolt pattern
  • Offset
  • Finish
  • Tire brand
  • Tire model
  • Tire size
  • Quantity
  • Vehicle information
  • Shipping address
  • Billing information
  • Shipping charges
  • Taxes
  • Financing amounts
  • Out-of-pocket payments
  • Installation or service descriptions

You must notify us of any alleged error before the order enters supplier processing, production, fulfillment, or shipment.

Your approval, signature, payment, or checkout submission confirms that the listed information is correct unless Fitment Lab separately agrees otherwise in writing.


9. Vehicle and Fitment Information

You are responsible for providing complete and accurate vehicle information, including:

  • Year
  • Make
  • Model
  • Trim
  • Drive configuration
  • Suspension configuration
  • Brake package
  • Existing modifications
  • Lift or lowering height
  • Current wheel and tire setup
  • Intended use
  • Any aftermarket components affecting clearance

Fitment Lab may provide fitment guidance based on information supplied by you, information supplied by manufacturers or distributors, industry databases, prior experience, and generally available fitment data.

Fitment recommendations are estimates and not guarantees of exact appearance, clearance, performance, or modification-free installation.


10. Customer Fitment Responsibility

The customer is ultimately responsible for confirming that the selected products are suitable for the customer’s vehicle, intended use, and local legal requirements.

Factors that may affect fitment include:

  • Suspension modifications
  • Brake packages
  • Alignment
  • Vehicle production differences
  • Prior body or suspension repairs
  • Wheel offset
  • Wheel width
  • Tire width
  • Tire profile
  • Tire manufacturer
  • Vehicle loading
  • Fender liners
  • Wheel spacers
  • Lift kits
  • Lowering kits
  • Leveling kits
  • Aftermarket control arms
  • Trimming
  • Cutting
  • Grinding
  • Fender rolling
  • Calibration
  • Reprogramming

A product requiring reasonable aftermarket modification, trimming, alignment, calibration, or additional components does not automatically mean that the product is defective or incorrectly supplied.


11. Aggressive and Custom Fitments

Oversized, staggered, deep-dish, negative-offset, wide, lifted, lowered, tucked, flush, or aggressive fitments may require vehicle modifications.

By approving an aggressive or custom fitment, you acknowledge that:

  • Rubbing may occur
  • Trimming may be required
  • Fender modification may be required
  • Suspension modification may be required
  • Steering radius may be affected
  • Ride quality may change
  • Speedometer readings may change
  • Fuel economy may change
  • Handling may change
  • Tire wear may increase
  • Road noise may increase
  • Factory warranties may be affected
  • Driver-assistance systems may require calibration
  • Additional parts or labor may be necessary

These characteristics do not create a right to a refund, cancellation, return, exchange, reimbursement, or chargeback.


12. Special Orders and Custom Products

Wheels, tires, suspension products, accessories, custom finishes, custom drilling, custom offsets, made-to-order products, and supplier-direct products may be considered special-order merchandise.

Special-order merchandise may be processed immediately after the order is approved.

Once a special order has been submitted to a supplier, entered production, entered fulfillment, been allocated, or otherwise committed, it cannot be canceled, returned, refunded, or exchanged except where required by applicable law or expressly approved by Fitment Lab in writing.


13. Sales Finality, Returns and Cancellations

All purchases are governed by our separate Return, Cancellation & Sales Policy, which is incorporated into these Terms by reference.

Except where otherwise required by applicable law:

  • All sales are final
  • Refunds are not offered
  • Returns are not accepted
  • Exchanges are not guaranteed
  • Cancellations must be requested before supplier processing or shipment
  • Orders cannot be canceled after shipment
  • Orders cannot be canceled after they become committed special orders

A cancellation request is not approved unless Fitment Lab confirms approval in writing.


14. Payments

You agree to pay all charges associated with your order, including:

  • Product prices
  • Shipping charges
  • Freight charges
  • Taxes
  • Processing charges
  • Approved service charges
  • Redelivery fees
  • Address-correction fees
  • Storage fees
  • Refused-shipment expenses
  • Other disclosed amounts

Payment must be made through a method accepted by Fitment Lab.

We may delay order processing until payment clears and all requested verification is completed.


15. Payment Authorization

By providing payment information, you represent and warrant that:

  • You are the authorized account holder, or
  • You have the account holder’s express permission to use the payment method
  • The payment information is accurate
  • The transaction is lawful
  • Sufficient funds or credit are available
  • The payment is not being submitted under false pretenses

You authorize Fitment Lab and its payment providers to process the approved transaction and any separately authorized additional charges.


16. Deposits and Partial Payments

Unless otherwise stated in writing, a deposit or partial payment may secure inventory, initiate supplier processing, begin production, or reserve merchandise.

Deposits and partial payments are nonrefundable once the order becomes noncancelable under our Return, Cancellation & Sales Policy, except where applicable law requires otherwise.

Failure to pay a remaining balance does not automatically cancel an order or require the return of a deposit.

We may withhold shipment until the full required balance has been received.


17. Third-Party Financing and Lease-to-Own Agreements

Fitment Lab may assist customers with applications or purchases involving independent financing or lease-to-own providers.

Fitment Lab is not the lender or lessor unless expressly identified otherwise.

Any financing or lease-to-own agreement is a separate contract between the customer and the third-party provider.

Approval, payment schedules, interest, lease costs, early-purchase options, late charges, reporting, collections, and account administration are controlled by the applicable provider and agreement.

Fitment Lab does not guarantee financing approval or any particular financing terms.

The customer must review the provider’s agreement before signing.

The activation or commencement of a financing or lease-to-own agreement may occur before the merchandise is delivered, depending on the provider’s terms. Shipping or carrier transit time does not suspend the customer’s obligations under a separate financing agreement.

Questions regarding financing payments or account terms must be directed to the financing provider.


18. Taxes

You are responsible for all applicable sales, use, excise, import, customs, and other taxes or government charges associated with your purchase, except taxes imposed directly on Fitment Lab’s net income.

We may collect taxes where required.

You are responsible for providing valid exemption documentation before the transaction is completed when claiming a tax exemption.


19. Shipping Estimates

Shipping, processing, production, and delivery dates are estimates unless Fitment Lab expressly guarantees a date in a signed writing.

Estimates may be affected by:

  • Supplier processing
  • Product availability
  • Production schedules
  • Freight-carrier availability
  • Weather
  • Holidays
  • Customs
  • Labor interruptions
  • Natural disasters
  • Address issues
  • Fraud verification
  • Events outside our reasonable control

Fitment Lab will comply with legally applicable requirements concerning material shipping delays, customer consent to delays, and refunds for merchandise that cannot be shipped.


20. Shipping Address

You are responsible for providing a complete and accurate shipping address.

We may require shipment to:

  • The verified billing address
  • A financing-provider-approved address
  • A commercial address
  • A freight terminal
  • An address confirmed through additional verification

Address changes are not guaranteed after an order has entered processing.

Additional charges caused by an inaccurate address, residential classification, limited-access location, redelivery, reconsignment, storage, failed delivery, or address correction are the customer’s responsibility.


21. Freight Deliveries

Large wheel and tire orders may ship by freight.

Freight deliveries may require:

  • A valid telephone number
  • Delivery scheduling
  • An adult recipient
  • Signature upon delivery
  • Access for a commercial freight vehicle
  • Customer assistance unloading
  • Pickup at a terminal
  • Additional charges for residential, liftgate, limited-access, or inside delivery

Unless expressly purchased and confirmed, freight delivery generally does not include unpacking, installation, inside placement, or disposal of packaging.


22. Inspection and Shipping Damage

You must inspect the shipment before signing for delivery whenever reasonably possible.

Visible damage, shortages, crushed packaging, punctures, exposed merchandise, or missing pieces should be noted on the carrier’s delivery receipt before acceptance.

You must photograph the shipment, packaging, labels, and damage and report the issue to Fitment Lab within 24 hours of delivery.

You must retain the merchandise and all packaging while the claim is being reviewed.

Do not install or use merchandise that appears damaged.

Failure to inspect, document, preserve, or timely report damage may materially limit available carrier or supplier remedies.


23. Lost or Missing Shipments

You must promptly notify Fitment Lab when tracking shows delivery but the shipment has not been received, or when a shipment appears lost in transit.

Fitment Lab may require:

  • Carrier investigation
  • Signed statement
  • Police report
  • Identification
  • Address verification
  • Cooperation with the carrier, payment provider, financing provider, or insurer

A replacement or refund will not be issued until any required investigation is completed and responsibility is determined, except where applicable law requires otherwise.


24. Risk of Loss and Title

Risk of loss and title will transfer as provided by applicable law, the applicable shipping contract, and the terms governing the particular transaction.

Nothing in these Terms eliminates rights or obligations that cannot legally be waived.


25. Refused and Undeliverable Shipments

Refusing delivery does not cancel an order and does not create an automatic right to a refund.

When a shipment is refused, undeliverable, abandoned, or returned because of customer action or incorrect customer information, the customer may be responsible for:

  • Original shipping
  • Return shipping
  • Carrier fees
  • Storage fees
  • Redelivery charges
  • Reconsignment charges
  • Administrative expenses
  • Damage occurring during unauthorized return transit

Fitment Lab may hold returned merchandise until all applicable amounts are resolved.


26. Installation

Products must be installed by a qualified and properly equipped automotive professional.

The installer is responsible for inspecting and test-fitting all products before final installation.

The installer must verify:

  • Bolt pattern
  • Lug-seat type
  • Hub engagement
  • Brake clearance
  • Suspension clearance
  • Fender clearance
  • Load rating
  • Tire direction
  • Tire pressure
  • Lug hardware
  • Torque specifications
  • Proper centering
  • Safe operation

Products should not be mounted, balanced, driven on, altered, or installed when there is an unresolved fitment, finish, shipping-damage, or product concern.


27. Mounting and Balancing

Complimentary mounting or balancing, when offered, is subject to equipment limitations, product compatibility, scheduling, safety considerations, and Fitment Lab’s discretion.

Complimentary mounting and balancing have no separate cash value.

If mounting or balancing is not performed by Fitment Lab, the customer is responsible for arranging and paying for third-party service.

Fitment Lab is not responsible for third-party labor rates, installation charges, mounting charges, balancing charges, disposal charges, alignment charges, or related costs.


28. Lug Nuts, Sensors and Additional Components

Unless expressly listed on the invoice, an order may not include:

  • Lug nuts
  • Wheel locks
  • Hub-centric rings
  • Spacers
  • Valve stems
  • Tire-pressure sensors
  • Sensor programming
  • Lift components
  • Leveling components
  • Alignment
  • Calibration
  • Installation hardware
  • Installation labor

The customer is responsible for confirming what is included before completing the purchase.

Factory components may not be compatible with aftermarket products.


29. Torque, Maintenance and Safety

Wheels and related hardware must be installed and maintained according to the vehicle, wheel, tire, and hardware manufacturers’ instructions.

Lug hardware should be properly torqued using appropriate equipment and rechecked after the initial driving period recommended by the installer or manufacturer.

The customer is responsible for ongoing inspection and maintenance, including:

  • Tire pressure
  • Lug torque
  • Alignment
  • Tire condition
  • Wheel condition
  • Suspension clearance
  • Unusual vibration
  • Rubbing
  • Damage
  • Load limits

Do not continue driving when a safety concern exists.


30. Off-Road and Competition Products

Certain products may be intended only for off-road, show, racing, competition, or other restricted uses.

The customer is responsible for determining whether a product is lawful for use on public roads in the customer’s jurisdiction.

Fitment Lab does not represent that every product is emissions-compliant, road-legal, inspection-compliant, or permitted in every jurisdiction.


31. Manufacturer Warranties

Products may be covered by a manufacturer’s limited warranty.

All warranty claims are subject to the manufacturer’s:

  • Terms
  • Exclusions
  • Inspection requirements
  • Documentation requirements
  • Approval
  • Remedy
  • Processing timeline

Fitment Lab does not control the manufacturer’s decision.

Unless expressly stated in writing, Fitment Lab does not provide an independent product warranty beyond any warranty that cannot legally be disclaimed.


32. Warranty Exclusions

Manufacturer warranties commonly exclude damage arising from:

  • Improper installation
  • Improper torque
  • Incorrect fitment
  • Road hazards
  • Potholes
  • Curbs
  • Collisions
  • Racing
  • Off-road use
  • Overloading
  • Neglect
  • Improper maintenance
  • Chemical exposure
  • Corrosion
  • Winter-road chemicals
  • Improper cleaning
  • Unauthorized modifications
  • Normal wear
  • Cosmetic damage
  • Use of incorrect hardware

The applicable manufacturer’s written warranty controls.


33. No Reimbursement of Third-Party Costs

Unless Fitment Lab expressly agrees in writing before the cost is incurred, Fitment Lab is not responsible for reimbursing:

  • Installation labor
  • Removal labor
  • Mounting
  • Balancing
  • Alignment
  • Calibration
  • Vehicle modification
  • Towing
  • Storage
  • Rental vehicles
  • Lost wages
  • Lost business
  • Travel
  • Diagnostic charges
  • Third-party repair costs

The customer must obtain written authorization before incurring any expense the customer expects Fitment Lab to pay.


34. Communications

You authorize Fitment Lab to contact you regarding:

  • Quotes
  • Applications
  • Orders
  • Payments
  • Verification
  • Financing
  • Shipping
  • Delivery
  • Customer service
  • Warranty claims
  • Promotions, when separately permitted

Communications may be sent by telephone, email, text message, social media, or other information you provide.

Consent to promotional communications is not a condition of purchase where prohibited by law.

Message and data rates may apply.


35. Reviews and Customer Content

You may submit reviews, photographs, videos, testimonials, vehicle images, or other content.

You retain ownership of your original content but grant Fitment Lab a nonexclusive, worldwide, royalty-free license to display, reproduce, adapt, distribute, and use content you voluntarily submit for lawful business and promotional purposes, unless otherwise agreed in writing.

You represent that submitted content:

  • Is accurate to the best of your knowledge
  • Does not infringe another person’s rights
  • Does not contain unlawful material
  • Does not disclose private information without permission

Nothing in these Terms prohibits an honest consumer review or lawful report to a government agency.


36. Intellectual Property

The website and its original content, including branding, logos, graphics, text, layout, photographs, videos, product organization, and marketing materials, are owned by Fitment Lab or used with permission.

You may not reproduce, republish, distribute, modify, sell, scrape, or commercially exploit protected website content without prior written permission.

Third-party names, logos, and trademarks belong to their respective owners.


37. Third-Party Websites and Services

Our website may contain links to or integrations with third-party providers, including:

  • Financing companies
  • Lease-to-own providers
  • Payment processors
  • Shipping carriers
  • Manufacturers
  • Distributors
  • Social media platforms
  • Analytics services
  • Scheduling services

Fitment Lab does not control third-party services and is not responsible for their availability, security, policies, representations, or independent conduct.

Your use of a third-party service is governed by that provider’s terms.


38. Fraud Prevention

We may use third-party tools and internal procedures to review transactions for fraud, identity theft, payment risk, and policy abuse.

We may preserve and disclose relevant transaction records when reasonably necessary to:

  • Process an order
  • Prevent fraud
  • Investigate a dispute
  • Respond to a chargeback
  • Cooperate with a financing provider
  • Comply with legal process
  • Protect customers, Fitment Lab, or third parties

Information will be handled in accordance with our Privacy Policy and applicable law.


39. Chargebacks and Payment Disputes

You agree to contact Fitment Lab and provide a reasonable opportunity to investigate and address an order concern before initiating a payment dispute, except when immediate action is reasonably necessary to protect against genuine fraud or unauthorized use.

A chargeback does not automatically cancel the underlying contractual obligation.

Fitment Lab may respond to a dispute by submitting relevant records, including:

  • Terms acceptance
  • Signed invoices
  • DocuSign records
  • Financing agreements
  • Payment authorization
  • Identification
  • Customer communications
  • Order records
  • Product photographs
  • Supplier records
  • Tracking
  • Delivery confirmation
  • IP and device information
  • Fraud-screening results

Nothing in this section prevents a customer from exercising a lawful dispute right.

Knowingly submitting materially false information in connection with a payment dispute may constitute a breach of these Terms and may have other legal consequences.


40. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WEBSITE, SERVICES, PRODUCT INFORMATION, AND FITMENT GUIDANCE ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

EXCEPT FOR WARRANTIES THAT CANNOT LEGALLY BE DISCLAIMED AND ANY EXPRESS WRITTEN MANUFACTURER WARRANTY, FITMENT LAB DISCLAIMS ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

FITMENT LAB DOES NOT WARRANT THAT:

  • THE WEBSITE WILL ALWAYS BE AVAILABLE
  • WEBSITE INFORMATION WILL ALWAYS BE ERROR-FREE
  • A PRODUCT WILL ACHIEVE A PARTICULAR APPEARANCE
  • A PRODUCT WILL FIT WITHOUT MODIFICATION
  • A PRODUCT WILL PRODUCE A PARTICULAR PERFORMANCE RESULT
  • THIRD-PARTY SERVICES WILL OPERATE WITHOUT INTERRUPTION

Some jurisdictions do not permit certain warranty exclusions, so portions of this section may not apply to every customer.


41. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FITMENT LAB SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING:

  • LOST PROFITS
  • LOST REVENUE
  • LOSS OF USE
  • VEHICLE DOWNTIME
  • LOST DATA
  • LOST BUSINESS
  • THIRD-PARTY LABOR
  • RENTAL COSTS
  • TOWING
  • TRAVEL EXPENSES

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FITMENT LAB’S TOTAL LIABILITY ARISING FROM A PRODUCT, ORDER, OR TRANSACTION SHALL NOT EXCEED THE AMOUNT ACTUALLY PAID TO FITMENT LAB FOR THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM.

These limitations do not apply to liability that cannot legally be excluded or limited.


42. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Fitment Lab and its owners, employees, contractors, agents, and affiliates from third-party claims, losses, liabilities, damages, and reasonable expenses arising from:

  • Your unlawful use of the website
  • Your violation of these Terms
  • False information supplied by you
  • Unauthorized use of another person’s payment or identity
  • Your infringement of another person’s rights
  • Your unlawful installation, resale, export, or use of a product
  • Content you submit

This section does not require a consumer to indemnify Fitment Lab for Fitment Lab’s own unlawful conduct or liability that cannot legally be shifted.


43. Informal Dispute Resolution

Before filing a lawsuit arising from a transaction, the parties agree to make a good-faith effort to resolve the dispute informally.

The complaining party should provide written notice describing:

  • The customer’s name
  • Order or invoice number
  • Relevant facts
  • Requested resolution
  • Supporting documents

The parties will have 30 days after receipt of a complete written notice to attempt an informal resolution before litigation is filed, unless immediate court relief is reasonably necessary or applicable law provides otherwise.

This section does not prevent either party from responding to a chargeback, complying with a legal deadline, seeking emergency relief, or pursuing a remedy that cannot lawfully be delayed.


44. Governing Law

These Terms and transactions with Fitment Lab are governed by the laws of the State of Texas, without regard to conflict-of-law principles, except where federal law or the mandatory law of another jurisdiction applies.


45. Venue and Jurisdiction

To the extent legally permitted, any court proceeding arising from or relating to these Terms, the website, or a purchase from Fitment Lab shall be brought in a state court located in Dallas County, Texas, or the applicable federal court serving Dallas County, Texas.

Each party consents to personal jurisdiction in those courts.

This section does not eliminate any venue, jurisdiction, or consumer right that cannot legally be waived.


46. Attorney’s Fees and Costs

In any dispute arising from these Terms, the prevailing party may recover reasonable attorney’s fees and court costs only to the extent authorized by contract and applicable law.


47. Force Majeure

Fitment Lab is not responsible for delay or failure caused by circumstances beyond its reasonable control, including:

  • Natural disasters
  • Severe weather
  • Fire
  • Flood
  • War
  • Terrorism
  • Civil unrest
  • Government action
  • Epidemics
  • Labor disputes
  • Carrier interruptions
  • Supplier shutdowns
  • Port delays
  • Cyberattacks
  • Utility outages
  • Material shortages

This section does not eliminate obligations imposed by applicable consumer-protection or shipping laws.


48. Modification of Terms

We may update these Terms periodically.

Updated Terms become effective when posted with a revised effective date.

Changes will apply prospectively unless otherwise permitted by law.

The Terms in effect when a customer completes a transaction will generally govern that transaction unless the parties agree otherwise or applicable law requires a different result.


49. Suspension and Termination

We may suspend or terminate access to our website or services when we reasonably believe a person has:

  • Violated these Terms
  • Engaged in fraud
  • Abused employees or systems
  • Submitted false information
  • Created an unreasonable security risk
  • Violated applicable law
  • Misused payment-dispute procedures

Termination does not eliminate obligations arising from orders placed before termination.


50. Assignment

You may not assign your rights or obligations under these Terms without Fitment Lab’s prior written consent.

Fitment Lab may assign these Terms in connection with a merger, acquisition, reorganization, asset sale, ownership change, or transfer to an affiliated entity, subject to applicable law.


51. No Waiver

Failure to enforce a provision of these Terms does not waive the right to enforce that provision later.

A waiver is effective only when made in writing by an authorized representative of Fitment Lab.


52. Severability

If any provision of these Terms is determined to be unlawful or unenforceable, that provision will be enforced to the maximum extent permitted or severed as necessary.

The remaining provisions will continue in effect.


53. Entire Agreement

These Terms, together with the applicable invoice, Return, Cancellation & Sales Policy, Privacy Policy, Shipping Policy, financing documents, written product acknowledgments, and other incorporated agreements, constitute the agreement governing the transaction.

If there is a direct conflict among documents, the more transaction-specific signed agreement will control for that transaction, except where applicable law requires otherwise.

Oral discussions do not modify a signed invoice or written policy unless the modification is confirmed in writing by an authorized Fitment Lab representative.
